Terms of service
The agreement between you and Signclad for use of the service.
Effective March 3, 2024
1. Who this agreement is with
The service is provided by Signclad Inc., an Arizona corporation. "You" means the account owner and everyone using the service under that account.
2. The service
Signclad sends documents for electronic signature, collects signatures and supporting evidence, and returns a sealed PDF with an audit trail. It also provides a REST API, webhooks, embedded surfaces, and an MCP server.
Signclad does not provide legal advice, does not supply document templates, and does not verify the identity of signers against government-issued identification. Signatures produced are simple electronic signatures under the U.S. ESIGN Act, UETA, and eIDAS.
3. Accounts, workspaces, and seats
- An account is the billing owner. A workspace is a team's space within it.
- Members hold a role of owner, admin, or member. Viewers are free and cannot send. A sender occupying a seat in several workspaces of one account is one seat.
- You are responsible for the security of your credentials and API keys.
4. Acceptable use
You may not use Signclad to:
- Send documents you have no right to send, or impersonate another person or organisation.
- Distribute malware, phishing content, or unlawful material.
- Send unsolicited bulk messages, or use signing links as a delivery channel for marketing.
- Process protected health information without an executed business associate agreement, or any data class the plan you are on excludes.
- Circumvent metering, rate limits, or plan allowances.
5. Fees, metering, and billing
- Plan subscriptions are billed in advance on the interval chosen at checkout, monthly or annually, and renew on that interval until cancelled. Changing interval or plan mid-term is prorated. Additional senders cost $10 per month on Light and Business, prorated for time active and billed monthly in arrears. Prices and included senders are on the pricing page.
- A document counts against your allowance when it moves to sent. Drafts, test-mode documents, and documents that error before sending do not count. A bulk send counts one per generated document.
- API documents beyond the included allowance are metered per document and billed monthly in arrears. Rates are on the API pricing page. Above 500 API documents in a month, each additional document remains $0.60 unless a different rate is agreed.
- Taxes are additional where applicable.
- Seat changes are prorated. Non-payment leads to a read-only account after a grace period of 14 days; sending resumes on payment.
6. Your content
Documents, files, field values, attachments, and recipient details you put into Signclad remain yours. Signclad processes them to provide the service and does not use them to train models or for any purpose you have not asked for. Processing terms are in the data processing addendum; the sub-processor list is available from our team.
7. Evidence and retention
Completed documents are digitally sealed and retained. Deleting a document removes it from your workspace; the sealed artifacts and their hashes are retained for 7 years because the evidence chain depends on them. Retention periods per data class are in the data classification policy.
8. Availability
Signclad targets the performance budgets published on the status page. No uptime figure is committed here until the status page can substantiate one. Enterprise service levels are agreed separately in writing.
9. Security
Signclad's security programme is described on the security page. Signclad is SOC 2, ISO 27001, and HIPAA compliant; those audits are complete and passed. You are responsible for your own access controls, key rotation, and the security of any system you connect.
10. Suspension and termination
- You may cancel at any time; the plan stops at the end of the paid period.
- We may suspend an account for non-payment after notice, for a breach of section 4, or for activity that endangers the service or other customers.
- After termination you can download your documents, sealed PDFs, and audit JSON for 30 days.
11. Warranties and liability
Warranties. Signclad provides the service with reasonable skill and care and will not materially reduce its security during a paid term. Beyond that, the service is provided "as is" and "as available", and Signclad Inc. disclaims all other warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Signclad does not warrant that the service will be uninterrupted or error free, and it does not give legal advice: whether a given document is enforceable in your jurisdiction is for you and your counsel to decide.
Limitation of liability. Neither party is liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost revenue, or lost or corrupted data, even if advised of the possibility. Each party's total aggregate liability arising out of or relating to these terms is limited to the fees you paid or owed for the service in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, and the cap does not apply to your obligation to pay fees, to either party's breach of its confidentiality obligations, or to a party's fraud, gross negligence, or wilful misconduct.
Indemnity. Signclad Inc. will defend you against a third-party claim that the service, used as permitted, infringes that third party's intellectual property rights, and will pay the damages finally awarded or agreed in settlement. You will defend Signclad Inc. against a third-party claim arising from the documents you upload or send, your use of the service in breach of section 4, or your breach of applicable law, and will pay the damages finally awarded or agreed in settlement. Each indemnity is conditioned on the indemnified party giving prompt notice, reasonable cooperation, and control of the defence.
12. Changes to these terms
Material changes are announced 30 days in advance by email to account owners and in the changelog. API changes follow the separate twelve-month deprecation policy.
13. Governing law and disputes
These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, and each waives any objection to that venue and any right to a trial by jury. Before filing, the parties will try in good faith to resolve the dispute informally for 30 days after written notice through the contact form. Either party may seek injunctive relief for misuse of its intellectual property or confidential information at any time. Claims must be brought individually and not as a class or representative action.
14. Contact
